Article 1 (Purpose)

These Terms set out the conditions and procedures for using eGuro (https://eguro.kr, the "Site"), a semiconductor and electronic component inventory search and quotation brokerage site operated by EDENTECH (operator Heetae Kim, the "Operator"), and the rights, obligations and responsibilities of the Operator and members.

Article 2 (Definitions)

  • Member: A person who has agreed to these Terms and signed up. An Individual member may search for parts and send RFQs; a Business member may, in addition, register company inventory, reply to quotations and accept orders.
  • Company: The business to which a Business member belongs (including businesses in the Republic of Korea and overseas businesses in China, Hong Kong, Japan, etc.). A company administrator edits the Company Info and manages employees.
  • Inventory information: Part numbers, manufacturers, year of manufacture, quantities, prices, lead times and similar information posted by a company.
  • RFQ, reply and order: A quotation inquiry exchanged between members on the Site, the answer to it, and an indication of intent to order based on that answer.
  • Posts: Writings, comments, photos, attachments, eGuro Market posts and other content that a member has uploaded to the Site.
  • Verification mark: A mark that the Operator attaches to a company whose verification has been completed (✓ Verified (NTS), ✓ Credit code checked, ✓ Business license verified, etc.).

Article 3 (Effect and Amendment of the Terms)

  • These Terms take effect when posted on the Site and agreed to by a member upon sign-up.
  • The Operator may amend these Terms to the extent that doing so does not violate applicable laws, and will announce any amendment in Notices from 7 days before it takes effect (30 days before, for changes unfavorable to members).
  • A member who does not agree to the amended Terms may withdraw. Continued use after the effective date is deemed to be agreement.

Article 4 (Services)

  • Search for inventory of multiple companies by part number, and part number pages
  • Company inventory registration (Excel files, automatic updates from shared links)
  • Brokerage of RFQs, replies and orders, and news and notification e-mails
  • Company profile pages, the eGuro Members list, eGuro Market (Sell / Buy), and boards (Service Guide, Notices, Semiconductor Library, Contact & Feedback)

The services are currently free of charge. Before launching any paid service, the Operator will announce its content, fees and payment methods in advance and obtain separate consent.

Article 5 (Sign-up)

  • A person wishing to sign up must enter truthful information in the form prescribed by the Site and agree to these Terms and the Privacy Policy.
  • A Business member must select the company country and enter that country's company registration number. For companies in the Republic of Korea, the business registration number, representative's name and business start date are verified through the National Tax Service (NTS) business status verification; a business whose information does not match, or which has closed or suspended its business, cannot become a Business member. Overseas companies (China, Hong Kong, Japan and other countries) are signed up after the number format for each country is checked, and may use all Business member features, including inventory registration.
  • A new sign-up is not possible for a company that is already registered (same business registration number or company registration number); the person must instead request a link from that company's administrator. Once set, the business registration number cannot be changed.
  • If a person signs up using another person's information or false information, the Operator may refuse the sign-up or later restrict use.

Article 5-2 (Verification of Overseas Companies and Verification Marks)

  • An overseas company may request verification by uploading its company registration document (a business license (营业执照) in China, a Business Registration Certificate (商業登記證) in Hong Kong, a certificate of registered matters (登記事項証明書) in Japan, etc.). Once the Operator has checked the company name and registration number on the document, a verification mark is attached.
  • Business member features can be used in exactly the same way even without uploading a document.
  • A verification mark only indicates that the Operator has checked the number or document; it does not guarantee the company's creditworthiness, inventory, quality or transactions.
  • If a document turns out to be untrue or forged, the Operator may withdraw the verification mark and restrict use.

Article 6 (Account Management)

Members are responsible for managing their ID, password and linked social login accounts. If you become aware that someone else is using your account, please change your password immediately and notify the Operator.

Article 7 (Obligations of Members)

Members must not engage in the following acts.

  • Intentionally posting non-existent inventory or inventory or prices that differ from the facts, or presenting counterfeit or imitation parts as genuine
  • Covertly collecting information on other members or companies (including mass lookups and automated collection), or using it for purposes outside the Site
  • Impersonating another person or using another person's account
  • Posting content that infringes others' rights such as copyrights or trademarks, or that defames others
  • Interfering with the operation of the Site, attempting to breach its security, or uploading malicious programs
  • Any other act that violates laws or these Terms

Article 8 (Responsibility for Transactions)

  • The Site is a brokerage service that connects members so that they can find inventory information and exchange quotation and order intentions; the Operator is not a party to any transaction.
  • The company that posted the inventory is responsible for inventory quantities, prices, lead times, quality and authenticity. Actual contracts, payment, tax invoices, shipping, returns and handling of defects are determined by, and are the responsibility of, the parties to the transaction.
  • Inventory information may change after registration, so please be sure to reconfirm with the other company before any transaction. Even if a transaction is made through the Site, inventory quantities are not changed automatically.
  • When transacting with an overseas company, payment, currency exchange, shipping, customs clearance, taxes and compliance with import and export regulations are determined by, and are the responsibility of, the parties to the transaction.
  • The Operator has no obligation to intervene in disputes between members, but upon request may cooperate in their resolution, for example by checking Site records.

Article 9 (Posts)

  • The rights to and responsibility for posts belong to the member who posted them. The Operator may display posts to the extent necessary for operating and promoting the Site (including exposure in search results).
  • The Operator may hide or delete, without notice, posts that violate Article 7 or are contrary to law.
  • Public screens such as company profile pages, part number pages and eGuro Market posts may appear in searches on Google, NAVER and others. A company profile page can be set to private in Company Info.

Article 10 (Change and Suspension of Services)

  • The Operator may change the content of the services or discontinue part of them, and will announce important changes in advance.
  • The services may be temporarily suspended due to equipment maintenance or failure, communication outages, natural disasters and the like. The Operator will make efforts to restore them promptly.
  • As the services are currently provided free of charge, the Operator is not liable for damages arising from the change or suspension of services unless caused by the Operator's intent or gross negligence.

Article 11 (Restriction of Use)

If a member violates these Terms, the Operator may restrict use by means such as a warning, deletion of posts, suspension of use for a certain period or forced withdrawal. If you have an objection, please let us know via Help Center Contact & Feedback.

Article 12 (Withdrawal)

  • Members may withdraw at any time from My eGuro > Account.
  • Upon withdrawal, member information is deleted in accordance with the Privacy Policy. However, RFQ, reply and order records remain, with the name and similar details changed to "Withdrawn member", so that the other company can keep its records.
  • The last administrator of a company may withdraw after appointing another administrator or agreeing with the Operator on how the company is to be handled.

Article 13 (Limitation of Liability)

  • The Operator does not guarantee the accuracy of information posted by members (inventory, company information, posts).
  • The Operator is not liable for damages caused by a member's fault (negligent account management, violation of these Terms, etc.) or by transactions between members.

Article 14 (Inquiries and Dispute Resolution)

  • Inquiries and complaints about using the Site are received through the Help Center Contact & Feedback board, and the Operator will make efforts to respond promptly.
  • Disputes regarding these Terms and the use of the services are governed by the laws of the Republic of Korea, and lawsuits shall be filed with the court having jurisdiction under the Civil Procedure Act.
